William J. Felix

William J. Felix is Of Counsel to the law firm of Keevican Weiss Bauerle & Hirsch LLC. Mr. Felix's practice focuses on mergers and acquisitions and general corporate law, including analysis of business issues, negotiation, analysis and drafting of commercial contracts of all varieties and advising clients with respect to corporate governance issues.

Before joining the firm, Mr. Felix was in-house counsel to GTECH Corporation (NYSE symbol GTK), the world's leading operator of computerized on-line state/government lottery systems and facilities with operations in 33 states in the United States and 40 countries abroad. During his career, Mr. Felix has:

  • Assisted a $6 billion pharmaceutical company in the due diligence review of a public company with respect to a potential acquisition.
  • Co-managed a team that provided legal due diligence and advisory services to a $2.5 billion private equity fund in connection with its bid in a 363 sale of the assets of Republic Technologies International.
  • Provided key support in the representation of the largest American manufacturer of railroad wheels and axles in its disposition of its wholly owned European subsidiary for a value of 60 million Euros.
  • Assisted a privately-held leading provider of mobile production fleet equipment in a corporate reorganization and investment by private-equity fund with a value of $50 million.
  • Provided primary support for a national Internet retailer of furniture and home furnishing products in a merger into another national Internet retailer of furniture and home furnishings with a value in excess of $45 million.
  • Served as General Counsel, Secretary and Executive Vice President of International Business Affairs of a multi-million dollar coal processor and electric plant service provider.
  • Significant United States Government Federal Procurements/Acquisitions.
